The commercial register of Spain has got a long history. Its origins can be traced back to the such documents as “Ordenanzas de Bilbao” (a registry of matriculation numbers and flagging for ships, created in 1737) and the 1885 Commercial Code (“Código de Comercio”). The current version of the register has been functioning since 1998.
The business register of Spain is managed by the Business Registrars of the Directorate-General for Registers and Notaries – an institution under the direct authority of the Ministry of Justice. The Registrars are professional legal experts who only make entries in the register after a thorough verification of the submitted information. Registration is obligatory when starting a business – it is an essential part of incorporation procedures.
Nowadays the register is administered in an electronic form. The extracts from it are available in hard copy as well.

Certified extract is a notarised copy of a document submitted in the register. This extract has got legal force. It is only available in hard copy and can be obtained after a written request.

Annual financial statements are balance sheets, profit and losses, auditor’s and director’s reports. Based on this data, it is possible to get an idea about the financial state of a company. These documents are only available in Spanish.

Register of beneficiaries of Spain
The Spanish Ministry of Justice issued Decree 319/2018 of March 21, 2018, according to which Spanish companies are required to reveal their ultimate beneficial owners.
The beneficial owner in this case means the person who directly and indirectly owns and controls:
- More than 25% of the company's share capital
- More than 25% of the company's voting rights
- In other ways, it implement direct or indirect control over the management of the company
Only quoted companies are exempt from the reporting obligation. In addition, companies that have indirect beneficiaries must disclose information about legal entities that interfere in the chain of control of the Spanish company. If the company has no direct or indirect beneficiaries, it is obliged to identify the members of its management body in the declaration. In subsequent years, this declaration will need to be submitted only if there are any changes in relation to the already identified beneficiaries.
Apostille for extracts from Spain
Spain acceded to the The Hague Convention Abolishing the Requirement of Legalization for Foreign Public Documents on 28 September 2004.
Therefore, the documents issued in Spain are subject to a simplified apostilling procedure, thus the documents gain full legal value in Convention member states after certified translation.
Apostilling usually takes about two weeks.
